Terms of Service

1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of the DexHub platform, operated by w-kaleafrica.com (“DexHub”, “we”, or “us”), a B2B digital mineral exchange based in Dar es Salaam, Tanzania.

By registering an account, accessing, or using any part of the platform, you agree to be bound by these Terms in full. If you do not agree, you must not use DexHub. These Terms apply alongside our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

To use DexHub, you must:

• Be at least 18 years of age.
• Be acting in a lawful commercial or business capacity as a mineral buyer, seller, or broker.
• Hold any permits, licences, or authorisations required by Tanzanian law and any other applicable jurisdiction for the purchase, sale, or brokerage of minerals.
• Not be subject to sanctions or export-control restrictions that would prohibit you from engaging in mineral trade.

We reserve the right to refuse registration or suspend any account that does not meet these eligibility requirements.

3. Account Registration and KYC Verification

All users must register with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any suspected unauthorised access at info@dexhub.africa.

Know Your Customer (KYC) verification is mandatory for all users wishing to post listings, place bids, or enter into contracts on the platform. This process requires submission of government-issued identification and, where applicable, business registration documentation. DexHub reserves the right to reject or request additional documentation at its discretion.

4. Permitted and Prohibited Use

4.1 Permitted Use

You may use DexHub solely to list, browse, bid on, and facilitate lawful commercial transactions involving verified minerals (gold, copper, and other strategic minerals) in accordance with these Terms.

4.2 Prohibited Use

You must not:

• Post false, misleading, or fraudulent listings or trade offers.
• Engage in money laundering, financing of terrorism, or any activity that violates applicable AML/CTF laws.
• Trade in conflict minerals or minerals obtained illegally.
• Attempt to circumvent the platform’s transaction process by conducting off-platform deals discovered through DexHub leads.
• Use automated bots, scrapers, or scripts to access the platform.
• Upload malicious code, conduct denial-of-service attacks, or otherwise attempt to compromise platform security.
• Harass, impersonate, or defame other users.
• Share your account credentials with third parties.

Violation of these restrictions may result in immediate account suspension and referral to relevant authorities.

5. Listings, Bids, and Contracts

• Accuracy: Sellers are solely responsible for the accuracy, legality, and completeness of listing information, including mineral origin, grade, weight, and supporting documentation.
• Binding Bids: A bid submitted on the platform constitutes a binding commercial offer. Winning bids create a contractual obligation between buyer and seller subject to contract confirmation on the platform.
• Contracts: DexHub facilitates contract creation and record-keeping. We are not a party to any transaction and are not responsible for fulfilment, delivery, payment, or disputes arising from a trade.
• Platform Fees: DexHub may charge service fees as published on the platform. Fee schedules are subject to change with 30 days’ prior notice.

6. Intellectual Property

All platform software, design, branding, trademarks, and content created by DexHub are the exclusive property of w-kaleafrica.com. You are granted a limited, non-exclusive, non-transferable licence to access and use the platform for its intended purpose only. You may not copy, reproduce, modify, or distribute any DexHub materials without prior written consent.

By uploading content (listings, images, documents), you grant DexHub a non-exclusive, royalty-free licence to use such content solely for platform operations (display, storage, compliance, audit).

7. Disclaimer of Warranties

DexHub is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, error-free, or secure access to the platform.

DexHub does not verify the physical quality, weight, or purity of any mineral offered on the platform. Users trade at their own risk and are responsible for conducting independent due diligence.

8. Limitation of Liability

To the maximum extent permitted by applicable law, DexHub and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, loss of data, trade disputes, or mineral quality discrepancies.

Our total aggregate liability for any claim arising out of or related to these Terms shall not exceed the total platform fees paid by you in the twelve (12) months preceding the claim.

9. Suspension and Termination

DexHub may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or regulatory requirements, or if we are required to do so by a competent authority. Upon termination, your right to use the platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including sections 6–11) shall continue to apply.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Republic of Tanzania. Any dispute arising out of or relating to these Terms or the use of DexHub shall be subject to the exclusive jurisdiction of the courts of Tanzania.

Before initiating formal proceedings, you agree to first attempt in good faith to resolve any dispute informally by contacting us at info@dexhub.africa.

11. Amendments to These Terms

We reserve the right to amend these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Material changes will be communicated via email or an in-platform notice at least 14 days in advance. Continued use of the platform following the effective date of any amendment constitutes your acceptance of the revised Terms.
